These Terms of Use govern your access to and use of the tools and services provided by L Hull Industries Ltd ("we", "us", "our"), operating as The Inner Circle. By connecting your seller account or using any of our tools, you agree to these terms.

1. The Service

The Inner Circle provides a suite of seller tools including Profit Tracker, Inventory Tracker, Repricer, Catalogue Scanner, Product Finder, Reverse ASIN Search, Brand Analyser, and a Companion browser extension (collectively, "the Tools"). These Tools connect to your seller account via the Selling Partner API to retrieve and act on data within your account.

2. Eligibility

You must be a registered marketplace seller with the authority to grant third-party application access to your seller account. By connecting your account, you confirm that you have the right to do so.

3. SP-API Access and Authorisation

When you connect your seller account, you authorise us to access specific data and perform specific actions on your behalf, as described in our Privacy Policy. This authorisation can be revoked at any time through your seller account's third-party app management settings. Revoking access will immediately stop any further data retrieval or automated actions.

4. Acceptable Use

You agree not to:

• Use the Tools to violate any marketplace policies or applicable laws.
• Attempt to reverse-engineer, scrape, or extract data from the Tools beyond your own seller data.
• Share your account credentials or grant access to the Tools to individuals who do not have authority over the connected seller account.
• Use the Repricer in a way that intentionally manipulates prices to harm other sellers or violate fair competition rules.

5. Repricer and Automated Actions

The Repricer tool makes automated changes to listing prices on your behalf based on rules you configure. You are solely responsible for the repricing rules you set and the price changes that result. We are not liable for pricing errors, lost sales, or account actions arising from rules you have configured.

6. No Guarantee of Results

The Tools provide data and automation to support your selling decisions. We do not guarantee any particular sales volume, profit, Buy Box win rate, or business outcome. All sourcing, pricing, and inventory decisions remain your responsibility.

7. Limitation of Liability

To the fullest extent permitted by law, L Hull Industries Ltd shall not be liable for any indirect, incidental, or consequential loss arising from use of the Tools, including but not limited to lost profits, account suspensions, or data loss. Our total liability in any matter shall not exceed the fees paid by you in the 30 days preceding the claim.

8. Termination

We may suspend or terminate your access to the Tools at any time if you breach these Terms or if required for compliance with marketplace policies. You may terminate your access at any time by revoking SP-API authorisation and cancelling your membership.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the Tools after updates constitutes acceptance of the revised Terms. Material changes will be communicated to active members by email.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
